There are a variety of claims under South Carolina law for business owners, who have been harmed either as a result of other owners acting in such a way as to benefit themselves, or to “freeze out” certain owners. The types of claims a business owner may raise may depend upon the type of entity at issue (e.g. partnership, limited liability company, or corporation) as different statutes govern the different types of entities. Other claims, however, may be available regardless of the type of business entity involved, including common-law claims for breach of fiduciary duty, fraud, breach of contract, unjust enrichment, and actions for an “accounting” (a legal proceeding in which owners accused of taking or earning money improperly are required to account for it and return it to the business).
